Terms of Service
Please read these Terms carefully before using My Proposal. They form a binding agreement between you and My Proposal, Inc.
1. Acceptance of terms
By creating an account or using the My Proposal platform you agree to these Terms of Service ("Terms"). If you are using My Proposal on behalf of a company, you represent that you have authority to bind that company to these Terms. If you do not agree, do not use the service.
2. Description of service
My Proposal provides a web-based platform for creating, sending, and tracking client proposals, and collecting electronic signatures. The service is offered on a subscription basis and is subject to the plan limits described on our Pricing page.
3. Account responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@myproposal.app if you suspect unauthorised access. We are not liable for losses caused by unauthorised use of your account.
4. Acceptable use
You agree not to: • Use My Proposal for any unlawful purpose or in violation of applicable regulations. • Send proposals that contain fraudulent, misleading, or deceptive content. • Attempt to gain unauthorised access to other users' accounts or our systems. • Reverse-engineer, decompile or copy the platform or its underlying code. • Resell or white-label the platform without our written permission. • Use automated scraping tools against the platform. We reserve the right to suspend or terminate accounts that violate this policy without notice.
5. Subscription and billing
My Proposal is offered on monthly or annual subscription plans. Fees are charged in advance and are non-refundable except as described in our 30-day money-back guarantee for annual plans (applicable within 30 days of initial purchase). Prices are in USD unless otherwise stated. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance. Payment processing is handled by Green Invoice / Morning API and is subject to their terms. My Proposal does not store full card numbers.
6. Intellectual property
You retain full ownership of all proposal content you create. You grant My Proposal a limited, worldwide, royalty-free licence to host, store and display your content solely to provide the service to you and your clients. The My Proposal platform, brand, and software are owned by My Proposal, Inc. and protected by copyright and trade-secret law. Nothing in these Terms transfers any intellectual property rights to you.
7. Confidentiality of proposal content
We treat your proposal content as confidential. We will not access your proposals except to provide the service, troubleshoot issues at your request, or comply with legal obligations. We do not use your proposal content to train machine learning models.
8. Electronic signatures
Electronic signatures collected through My Proposal are intended to comply with the US ESIGN Act, the US UETA, and EU eIDAS Regulation. You are responsible for ensuring that the signature process meets the legal requirements of the jurisdiction in which you intend to enforce the signed document. My Proposal provides the signature mechanism but does not provide legal advice.
9. Disclaimer of warranties
My Proposal is provided "as is" and "as available". We make no warranty, express or implied, that the service will be error-free, uninterrupted, or meet your specific requirements. To the maximum extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, My Proposal's total liability for any claim arising out of or related to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD. We are not liable for any indirect, incidental, special, or consequential damages, even if we have been advised of the possibility of such damages.
11. Governing law
These Terms are governed by the laws of the State of Israel without regard to conflict-of-law principles. For users based in the European Union, mandatory EU consumer-protection laws apply in addition to these Terms. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Tel Aviv, Israel.
12. Termination
You may close your account at any time from Settings. Upon closure we will delete your data within 90 days subject to legal retention requirements. We may terminate or suspend your account for violation of these Terms, with or without notice. Termination does not relieve you of any payment obligations accrued before the termination date.
13. Changes to these terms
We may update these Terms from time to time. We will give you at least 14 days' notice of material changes by email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
